Terms of Service

Effective as of: August 21, 2026

These Terms of Service ("Terms") and all policies referenced here govern your use of the free and paid services, software and websites (the "Service") provided by Veillant ("Veillant", "we", "our", "us"), a platform that lets you build and deploy AI voice phone assistants ("agents"), together with any data, text, files, configurations, documents, audio, and other materials you create or upload (collectively, "Content"). The contracting party is Veillant (enkeltmandsvirksomhed, CVR 46669207, Rødovre Port 52, 5. 1., 2610 Rødovre, Denmark).

Business customers only. The Service is for businesses, and only for businesses: people and companies acting in the course of a trade, business, craft or profession. We do not offer the Service to consumers, and you may not buy it for private use. By creating an account you confirm that you are acting for a business (for Danish businesses, the one registered under the CVR number you provide), not as a consumer.

If you use the Service on behalf of an organization, you agree to these Terms on its behalf and represent that you have authority to bind it; "you" then refers to that organization. Our Terms and Privacy Policy affect your legal rights and obligations. If you do not agree, do not use the Service.

1. Your account

You are responsible, at all times, for:

  • Accurate information when you create your account.
  • Safeguarding your credentials and all activity that occurs under your account.
  • Notifying us promptly of any breach of security or unauthorized use.
  • Appropriate use: you may not use another user's account without permission, and accounts must be registered by a human.
  • Age: you represent that you are at least 16 years old, and have legal capacity to enter into these Terms.
  • Lawful use: you may not use the Service for any illegal or unauthorized purpose, and must comply with all laws applicable to your use, including telecommunications and call-consent laws.

2. Your use of the Service

  • You must not interfere with or disrupt the Service or its servers, or transmit malware or destructive code.
  • You must not access our private API by means we don't expressly permit, nor scrape or harvest data by automated means.
  • You must not copy, modify, reverse engineer, resell, rent, sublicense or exploit the Service or our Content except as expressly allowed.
  • You are responsible for the configuration and conduct of the agents you build, and for obtaining any consent required in your jurisdiction to operate an automated voice agent (including call-monitoring or recording consent where applicable).

Data-protection roles. For the personal data of the people who call the agents you deploy, you are the data controller and Veillant is your processor, processing that data only on your instructions to provide the Service. This processing is governed by our Data Processing Agreement (GDPR Art. 28), which is incorporated into these Terms. For your own account data, Veillant is the controller as described in our Privacy Policy. As controller of your callers' data, you are responsible for having a lawful basis and for providing the required notices to your callers.

3. Plans, fees & renewals

Paid plans are billed on a recurring subscription basis through our payment processor. You authorize us to charge your selected payment method for all applicable fees as they become due, and you are responsible for providing accurate billing information. Unless cancelled, subscriptions renew automatically for the same term. You may cancel at any time with the "Cancel subscription" button on your billing page, or by contacting support at billing@veillant.eu; cancellation takes effect at the end of the current billing period, and your plan stays active until then (unless your account is suspended for non-payment). One exception, because we fund your dedicated phone number a month in advance: when you cancel, the number itself may be disconnected up to 3 days before the period ends, when its next month's funding would fall due. Fees are non-refundable except where required by law and except as stated in Section 13, which gives you a refund of unused time when you leave because we changed these Terms or our fees. We may revise fees with at least 30 days' notice before your renewal date. You are responsible for applicable taxes (excluding taxes on our net income).

Auto-recharge. Auto-recharge is optional and off by default. If you turn it on and your plan's minutes run out before your renewal date, we charge your plan's full price immediately (or, if you have a scheduled plan change, the price of the plan you selected) and a new billing period starts at that moment: your allowances reset and your renewal date moves accordingly. Auto-recharge runs at most 3 times in a calendar month; past that, nothing further is charged and the assistant pauses until your next renewal, as if auto-recharge were off. You can turn auto-recharge off at any time on your billing page.

Failed payments. If a renewal charge fails, it is retried through our payment processor and we email you about the problem. While a renewal remains unpaid, your account may be suspended: it keeps its plan and its data, and paying the open renewal brings it back. If the renewal stays unpaid for 30 days, or our payment processor gives up collecting it sooner, the subscription is cancelled; coming back then means starting a new subscription. Because we fund your dedicated phone number a month in advance, we release the number if your renewal has not been paid shortly before that funding falls due. A released number cannot be restored automatically: when you resume payment you receive a new number, with instructions to point your call forwarding at it.

Billing date alignment. Your dedicated phone number is paid for by us a month in advance. To make sure your renewal is always collected before that funding falls due, we may bring your renewal date forward by up to 3 days, normally on one occasion only. When this happens, that single billing period is up to 3 days shorter; the price does not change and you are never charged twice for the same period. Every later renewal follows the new date. If a mid-cycle recharge or plan change moves your renewal date again, the same alignment may be repeated. Your current renewal date is shown on your billing page.

4. Rights & content

Our content. The Service and all materials in it (software, design, text, graphics, logos, and their arrangement) are owned by Veillant and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

Your content. We claim no ownership of the Content you create or upload ("Customer Content"). It remains yours. You grant us only the limited rights needed to operate and provide the Service to you. You represent that you have the rights to your Customer Content and that it does not infringe any third party's rights.

Availability & backups. We aim for high availability but the Service may be interrupted for maintenance, upgrades, or failures. We are not a backup service; keep your own copies of important Content.

5. AI features

The Service uses third-party AI models to power voice and text. Output may be inaccurate or unexpected and is provided "as is." You are responsible for supervising your agents and must not rely on the Service for professional, legal, medical, or financial advice. Your use of AI features is also governed by our AI Policy.

6. Third-party services

The Service relies on third-party providers (including OpenAI, Twilio, Stripe and others) to function, and your use may be subject to their terms. See our Subprocessors page. We are not responsible for third-party services or for changes they make that affect the Service.

7. Feedback

If you send us suggestions, ideas, or feedback, you grant us a royalty-free, worldwide, perpetual, irrevocable license to use them without restriction or obligation to you.

8. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay fees when due, or create risk or possible legal exposure. On termination, your right to use the Service ceases and your Content may no longer be accessible.

Suspension for abuse. If we determine that your account or your agents are being used in a way Section 1 or 2 forbids, to harm or mislead the people who call, for fraud, or in a way that creates serious risk or legal exposure for callers, for other customers or for us, we may suspend the serving of your account for abuse. That decision is taken and reviewed by a person, never automatically, and we record its date and its reason. While an abuse suspension is in force, your assistant stops answering: incoming calls are rejected without being answered or billed, test calls from your panel are refused, and auto-recharge does not charge you. You keep access to your panel and your data, including export and account deletion. An abuse suspension is separate from a suspension for non-payment: making a payment does not lift it; we lift it when the reason for it is resolved, and we terminate under this Section where it is not. It does not by itself end your subscription, which you may cancel at any time as described in Section 3. When we suspend for abuse we tell you the reason and how to respond, by email to the address on your account; you can always write to privacy@veillant.eu. Your rights under Section 13, and the exits it names, are unaffected.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, VEILLANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VEILLANT PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold Veillant harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

12. Governing law & disputes

These Terms are governed by the laws of Denmark, without regard to conflict-of-laws rules. The courts of Denmark have exclusive jurisdiction over any dispute arising out of them, with venue of first instance at the Copenhagen City Court (Københavns Byret). The Service is sold to businesses only: you confirmed when you signed up that you were acting in the course of a trade, and these Terms are not a consumer contract. Any claim must be brought within one year after it arises, except where a longer period is required by law.

13. Changes to these Terms

Why we may change them. We may change these Terms, and the documents they refer to, only for one of the following reasons, and when we do we tell you which one applies: a change in the law, or in the guidance or decision of a regulator or a court; a requirement imposed on us by one of the providers the Service depends on; a change in our own company details; a security, fraud or abuse reason; a change in what the Service costs us to run, including what our own providers charge us; the addition, change or withdrawal of a feature; or to correct an error or make the wording clearer without changing what it means. We will not use this to change what you have already paid for, in the period you have already paid for.

Your right to leave when we change them. If you do not want to continue under a new version, or under a change to our fees, you may end your subscription at no cost. There is no exit fee and no early termination charge. Cancel on your billing page and your subscription stops renewing at the end of the period you have already paid for; if that period runs past the date the change takes effect, write to us and we will refund the part of it you have not used. Your data export stays available while you wind down. As with any cancellation, the dedicated number is released as described in Section 3: it may be disconnected up to 3 days before that final period ends, and if you come back later you get a new one and re-point your forwarding.

How a new version takes effect. Once you are paying for the Service, we do not block you without warning: we tell you what changed and the date it starts applying, we show it in your panel, and we email the address on your account at least 30 days beforehand, and until that date nothing changes for you and your assistant keeps answering. While your account is still free, a new version may take effect when we publish it. Either way, we ask you to accept it before you carry on using the panel: acceptance is an explicit action you take, and continuing to use the Service is never treated as agreement on its own.

If you do not accept. Declining does not delete anything and does not close your account. Whichever of these apply to you stay available whether or not you accept, and you will find them on the same screen that asks you to accept: downloading your data, cancelling your subscription, turning automatic recharging off, and asking us to delete your account. If you decline a version while a period you have paid for is still running, write to us and we will refund the part of it you have not used.

14. Entire agreement

If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Veillant regarding the Service. You may not assign them without our consent; we may assign them to a successor.
