Terms of Service

Effective as of: July 9, 2026

These Terms of Service ("Terms") and all policies referenced here govern your use of the free and paid services, software and websites (the "Service") provided by Veillant ("Veillant", "we", "our", "us"), a platform that lets you build and deploy AI voice phone assistants ("agents"), together with any data, text, files, configurations, documents, audio, and other materials you create or upload (collectively, "Content").

If you use the Service on behalf of an organization, you agree to these Terms on its behalf and represent that you have authority to bind it; "you" then refers to that organization. Our Terms and Privacy Policy affect your legal rights and obligations. If you do not agree, do not use the Service.

1. Your account

You are responsible, at all times, for:

  • Accurate information when you create your account.
  • Safeguarding your credentials and all activity that occurs under your account.
  • Notifying us promptly of any breach of security or unauthorized use.
  • Appropriate use — you may not use another user's account without permission, and accounts must be registered by a human.
  • Age — you represent that you are at least 16 years old, and have legal capacity to enter into these Terms.
  • Lawful use — you may not use the Service for any illegal or unauthorized purpose, and must comply with all laws applicable to your use, including telecommunications and call-consent laws.

2. Your use of the Service

  • You must not interfere with or disrupt the Service or its servers, or transmit malware or destructive code.
  • You must not access our private API by means we don't expressly permit, nor scrape or harvest data by automated means.
  • You must not copy, modify, reverse engineer, resell, rent, sublicense or exploit the Service or our Content except as expressly allowed.
  • You are responsible for the configuration and conduct of the agents you build, and for obtaining any consent required in your jurisdiction to operate an automated voice agent (including call-monitoring or recording consent where applicable).

Data-protection roles. For the personal data of the people who call the agents you deploy, you are the data controller and Veillant is your processor, processing that data only on your instructions to provide the Service. This processing is governed by our Data Processing Agreement (GDPR Art. 28), which is incorporated into these Terms. For your own account data, Veillant is the controller as described in our Privacy Policy. As controller of your callers' data, you are responsible for having a lawful basis and for providing the required notices to your callers.

3. Plans, fees & renewals

Paid plans are billed on a recurring subscription basis through our payment processor. You authorize us to charge your selected payment method for all applicable fees as they become due, and you are responsible for providing accurate billing information. Unless cancelled, subscriptions renew automatically for the same term; you may cancel at any time by contacting support at thomas.romero@veillant.eu, effective at the end of the current billing period. Fees are non-refundable except where required by law. We may revise fees with at least 30 days' notice before your renewal date. You are responsible for applicable taxes (excluding taxes on our net income).

4. Rights & content

Our content. The Service and all materials in it (software, design, text, graphics, logos, and their arrangement) are owned by Veillant and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

Your content.We claim no ownership of the Content you create or upload ("Customer Content"). It remains yours. You grant us only the limited rights needed to operate and provide the Service to you. You represent that you have the rights to your Customer Content and that it does not infringe any third party's rights.

Availability & backups. We aim for high availability but the Service may be interrupted for maintenance, upgrades, or failures. We are not a backup service; keep your own copies of important Content.

5. AI features

The Service uses third-party AI models to power voice and text. Output may be inaccurate or unexpected and is provided "as is." You are responsible for supervising your agents and must not rely on the Service for professional, legal, medical, or financial advice. Your use of AI features is also governed by our AI Policy.

6. Third-party services

The Service relies on third-party providers (including OpenAI, Twilio, Stripe and others) to function, and your use may be subject to their terms. See our Subprocessors page. We are not responsible for third-party services or for changes they make that affect the Service.

7. Feedback

If you send us suggestions, ideas, or feedback, you grant us a royalty-free, worldwide, perpetual, irrevocable license to use them without restriction or obligation to you.

8. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or possible legal exposure, or for prolonged inactivity on free accounts. On termination, your right to use the Service ceases and your Content may no longer be accessible.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, VEILLANT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VEILLANT PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (€100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold Veillant harmless from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

12. Governing law & disputes

These Terms are governed by the laws of the European Union and the member state in which Veillant is established, without regard to conflict-of-laws rules. You agree to resolve disputes in the courts of that jurisdiction, except where mandatory consumer-protection law grants you the right to bring proceedings elsewhere. Any claim must be brought within one year after it arises, except where a longer period is required by law.

13. Changes & entire agreement

We may update these Terms from time to time. We will provide reasonable advance notice of material changes through the Service or by email; continued use after they take effect constitutes acceptance. If any provision is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and Veillant regarding the Service. You may not assign them without our consent; we may assign them to a successor.
